In the case of M&A transactions, a correct allocation of risks during negotiations is indispensable; for which a full knowledge of the characteristics and elements of the indemnity clause is required.Therefore, this article will address the following topics. On the one hand, the primary content and parties subject to the indemnity clause. In addition to addressing the different elements and concepts that compose and affect it. On the other hand, explore the limits and exceptions to its implementation.La cláusula de indemnización es implementada de forma recurrente en los contratos de compraventa, a fin de distribuir el riesgo asumido por las partes con respecto a los diferentes riesgos imprevistos y posibles incumplimientos. En el caso de operaciones M&A, resulta indispensable una correcta asignación de los riesgos durante las negociaciones; para lo cual es requerido el conocimiento total de las características y elementos de la cláusula de indemnización.Es por ello que el presente artículo abordará los siguientes puntos. Por un lado, el contenido primordial y partes sujetas a la cláusula de indemnización. Además de abordar los diferentes elementos y conceptos que la componen y afectan.
