Attention is also paid to the possible infringement of the directors duty of loyalty when carrying out the authorized transaction. This is done from the position of the Spanish Supreme Court in the Ruling No. 812/2022, of November 22El presente trabajo tiene por objeto abordar la prohibición de realizar transacciones con la sociedad que, como manifestación del deber de evitar situaciones de conflicto de interés (que, a su vez, es manifestación del deber de lealtad), pesa sobre los administradores de las sociedades de capital [art. 229.1.a LSC_] y los requisitos para la concesión de la dispensa por la junta general en caso de administrador único. Igualmente se presta atención a la posible infracción del deber de lealtad del administrador al realizar la transacción autorizada.
