Sumario:The purpose of this paper is to address the prohibition to carry out transactions with the company which, as a manifestation of the duty to avoid conflicts of interest (which, in turn, is a manifestation of the duty of loyalty), is imposed to directors of capital companies [art. 229.1.a LSC_] and the requirements for the granting of the waiver by the general meeting in the case of a sole director. Attention is also paid to the possible infringement of the directors duty of loyalty when carrying out the authorized transaction.
