Sumario:The study of the judicial summon to the general meeting of shareholders consists of the in-depth analysis of the provisions contained in the current Nicaraguan Code of Commerce, are compared with contemporary doctrine and foreign legislation with special reference in Spanish Law. The refusal of the board of directors to convene the general meeting of shareholders activates the right of the business associates to appeal to the judicial body for it to convene and chair the meeting until it is organized, provided that the required legal and statutory requirements are met. The general meeting of shareholders when convened by the competent judge, can admit the participation of a notary to record the minutes of the meeting, when requested by the partners representing at least one twentieth of the share capital, its inclusion is not prohibited by law. Likewise, when the situation of (acefalia) lack of leader in the collegiate body, any of the executives may request the judicial summon and then any member regardless of the social capital may exercise the right to request to convene in the same way. Under Spanish Law, the resolution issued by the judge to accept or to decline the request for announcement does not admit any recourse, but in the Nicaraguan system it is possible to appeal.
