Resumo:This article explores the legal dimension of corruption in the field of corporate law, examining its various aspects. The argument put forth is that a deeper understanding of corruption within corporate law will facilitate the identification of gaps and the development of mechanisms for preventing and combating corruption in business. This, in turn, contributes to the global fight against corruption. The introduction provides an overview of the current state of research in the field. The subsequent section defines the concept of corporate corruption, highlighting the importance of the social interest as a critical lens for examining the convergence of corporate governance and social responsibility in addressing corruption. It emphasizes how corruption can undermine profitability, jeopardize corporate assets, and impact stakeholders. The article then explores the legal responses to corporate corruption, focusing on fiduciary duties as the foundation for imposing legal consequences within the realm of corporate law. It also highlights conflicts of interest and abuse of power as major sources of corporate corruption. Subsequently, the article maps out the various aspects of corruption in corporate law. It delves into topics such as codes of corporate governance, codes of conduct, financial and non-financial statements, esg (environmental, social and governance), examining their relationship with corruption. Finally, the conclusion provides a summary of the main points discussed throughout the article, reinforcing the importance of understanding, and addressing corruption within the framework of corporate law.
