Sumario:Agri-food cooperatives have a very important socio-economic role, both in the European Union and in Spain, where they represent a large volume of turnover and employability. However, the contexts of global competition and increasing competitiveness in which they act require expansive processes and organizational structures that allow them to adapt to these new times and be able to operate in a more flexible way. Thus, the degree of development achieved by many agri-food cooperatives has turned them into complex structures, having become - some of these large groups - into capitalist-cut firms. The present thesis proposes to analyze - both at a structural and organizational level - the largest agri-food cooperatives in the European Union and Spain, which will allow to identify not only the different structural models they have developed, but their incidence in relation to aspects of business management, and especially performance. The results of this study can help cooperatives in decision-making to take measures to improve their management and the functioning of their governing bodies. The conclusions of this study reflect, first of all, that there are different structural models with which European agri-food cooperatives exploit growth, ranging from traditional property structures to models in which the cooperative form incorporates attributes more characteristic of capitalist-cut societies, sometimes creating business corporations that act as a holding society under the control of the cooperative (to a greater or lesser extent). This process can lead to what is known as decooperativization or demutualization, when the cooperative or its partners cease to hold the majority control over the group. On the other hand, there are intermediate formulas such as hybrid property structures, where - despite the fact that external investors have been accommodated, and even sometimes there has been a change in legal form - most of ownership and control remains in the hands of the partners. The results show that the European agri-food cooperatives that have undergone some type of conversion during their growth processes - regarding the creation of business corporations - have reached a larger size and present more optimal results in terms of solvency. On the contrary, the cooperatives that have maintained a structure of traditional property are those that make better settlements to its partners by the contributions made. On the other hand, in relation to the innovations introduced in the internal governments of the largest European agri-food cooperative groups, and the analysis of the possibility of incorporating them into the medium-large Spanish agri-food cooperatives, it has been shown that Spanish Cooperative legislation is not a brake or limitation in allowing it; many of them being applied to a large extent by the agri-food cooperatives in our country, and sometimes even more so than in the rest of Europe. Finally, it has been corroborated that, as in the European Union's agri-food cooperatives, the inclusion of innovations in the internal governance structures of Spanish agri-food cooperatives leads to an improvement in their results; so it is a fundamental aspect to take into account in the agri-food cooperatives of our country.
