Sumario:This dissertation addresses the bonds in order to highlight aspects of the private distribution, especially when the issuer is a limited liability corporations and draws them in the recovery process of the business. Demonstrates that the bonds may be used for the receipt of funds for the purchase of goods and for the payment of his debts, fulfilling functions to capitalize, preserve and reorganization the business. Not only does it describe legal institutions and does not omit the points and whose face is rigor. It goes beyond. Angered existing positions, facing the blank, says new ways, demonstrates the usefulness of the institutes and seeks to warn approached about possible abuse of the bonds and the reorganization process of the business. Undo dogmas concerning the concept of bonds and use them for limited liability corporations. The method used is the deductive method, and without limit in time or space, and jurisprudential literature search, using just the law alien to accentuate certain aspects or to suggest improvements in the interpretation or reformulation of native Law, a transdisciplinary research and purposeful whose hallmark is the intricate issues confronting Business Law, resulting in the demonstration that the use of bonds can and should be expanded to allow them to use limited liability corporations, micro and small businesses, especially for the business reorganization, as make numerous corporations.
