Initially, it presents basic concepts on the Brazilian financial market. Subsequently, it studies the institute of the investment funds, bringing up its main characteristics, its legal system and the doctrinal debate about its legal nature. After the presentation of the market in which they operate and its main features, it seeks to analyze the regulation of the Brazilian capital market and the role of the Brazilian Securities Commission in regulating securities. Then, it focuses on the legal concept of securities in which the investment funds can be inserted in order to present the limitations caused by the CVM on such a concept. It finally shows how they limit the actual performance of the regulator about the institute.O objetivo do presente trabalho é investigar os limites da atuação da Comissão de Valores Mobiliários na regulação dos fundos de investimento, a partir da análise da estrutura e das regras jurídicas que os regem, para que seja possível analisar a segurança jurídica dos agentes do mercado de capitais. Apresentam-se, inicialmente, noções sobre os mercados financeiro e de capitais brasileiros. Posteriormente, adentra-se no estudo do instituto dos fundos de investimento, trazendo suas principais características, seu regime jurídico e o debate doutrinário acerca de sua natureza jurídica. Após a apresentação do mercado em que se inserem os fundos e das suas principais características, busca-se tratar a regulação do mercado de capitais brasileiro e o papel da Comissão de Valores Mobiliários na regulação dos valores mobiliários. Neste momento, procura-se tratar a conceituação dos destes e inserir as cotas de fundos de investimento em seu conceito, com o intuito de trazer as limitações advindas do entendimento da CVM acerca de tal conceito, que acabam por limitar a própria atuação do órgão regulador sobre o instituto.
