In this context, a three-phase filter comprising admissibility, formal compliance, and substantive validation is proposed as indispensable for ensuring transparency, equality, and legal certainty. This model seeks to harmonize judicial oversight with the autonomy of the negotiating parties, ensuring that the essential requirements for reorganization are strictly met without compromising the speed and flexibility necessary for negotiations between debtors and creditors. The work identifies and scrutinizes existing practical obstacles, such as technical and cultural resistances, which hinder the full effectiveness of out-of-court reorganization, and proposes solutions that safeguard the interests of all involved parties while maintaining the fundamental purpose of preserving productive activity. The proper classification of creditors, based on transparent criteria, is considered a central element for achieving equitable and sustainable outcomes in the restructuring process. It is concluded that, for the preservation of economic activity, a delicate balance between judicial intervention and private autonomy is imperative, supported by a normative framework that prioritizes good faith, informational clarity, and cooperative engagement among stakeholders. This perspective not only contributes to the efficacy of reorganization processes but also reinforces the importance of out-of-court reorganization as a strategic instrument for promoting economic and social stability.

Por meio de uma abordagem que conjuga métodos dogmáticos e comparativos, o estudo examina, de forma rigorosa, a evolução normativa nacional em diálogo com modelos estrangeiros e orientações internacionais, objetivando aprimorar a eficácia e a equidade do instituto. Nesse contexto, propõe-se a implementação de um filtro trifásico constituído pelas etapas de admissibilidade, conformidade formal e validação substancial que se revela indispensável para assegurar transparência, isonomia e segurança jurídica. Este modelo visa harmonizar a supervisão judicial com a autonomia negocial, garantindo que os requisitos essenciais à recuperação sejam estritamente observados sem comprometer a celeridade e a flexibilidade necessárias às negociações entre devedores e credores. O trabalho identifica e analisa os entraves práticos existentes, tais como resistências técnicas e culturais, que dificultam a plena eficácia da recuperação extrajudicial, e propõe soluções que preservem os interesses de todas as partes envolvidas, sem desvirtuar o propósito de manutenção da atividade produtiva. A correta classificação dos credores, baseada em critérios transparentes, é considerada elemento central para a obtenção de resultados equitativos e sustentáveis no âmbito do processo de reestruturação. Conclui-se que, para a preservação da atividade econômica, é imperioso umequilíbrio delicado entre a intervenção judicial e a autonomia privada, alicerçado num arcabouço normativo que privilegie a boa-fé, a clareza informacional e a cooperação entre os agentes.
